1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Wuwei Shiyangrui Network Technology Co., Ltd. ("Company," "we," "us," or "our") concerning your access to and use of the www.yangrui.buzz website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Wuwei Shiyangrui Network Technology Co., Ltd. provides professional technology services including but not limited to:

  • Design services

The specific scope, deliverables, and terms of any project will be defined in a separate service agreement or statement of work.

4.2 Client Work Product

Unless otherwise specified in a separate agreement, upon full payment for services rendered:

  • Custom software and code developed specifically for a client shall be owned by the client
  • We retain the right to use general knowledge, skills, and experience gained during the project
  • Pre-existing materials and tools remain our property
  • We may retain copies of work for portfolio and reference purposes unless prohibited by agreement

5. Payment Terms

Payment terms for our Services are as follows:

  • Fees and payment schedules will be specified in individual service agreements
  • Unless otherwise agreed, invoices are due within 30 days of receipt
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend services for overdue accounts
  • All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes but is not limited to:

  • Business strategies and plans
  • Technical specifications and designs
  • Customer data and information
  • Financial information
  • Trade secrets and proprietary processes

Confidentiality obligations shall survive the termination of any agreement between the parties.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. If Services do not conform to this warranty, we will re-perform the non-conforming Services at no additional cost.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will meet all of your requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • Any errors in the Services will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WUWEI SHIYANGRUI NETWORK TECHNOLOGY CO., LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Services

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Wuwei Shiyangrui Network Technology Co., Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you provide to us

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Services will immediately cease
  • Any outstanding payments shall become immediately due
  • Provisions that by their nature should survive termination shall survive

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, mediation in Wuhu City, Anhui Province
  • If mediation fails, binding arbitration or litigation in the courts of Wuhu City, Anhui Province

12. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with any service agreements and privacy policy, constitute the entire agreement between you and Wuwei Shiyangrui Network Technology Co., Ltd. regarding the Services and supersede all prior agreements and understandings.
